Terms of Service

Vinician is a patient engagement and retention platform for treatment programs. Operated by Vinician inc.

B2B Service

Vinician is offered to clinics, treatment programs, and other organizational customers. Patients are not parties to these Terms and do not receive a patient-facing contract from Vinician.

BAA Controls PHI

A separate executed Business Associate Agreement governs all protected health information. If these Terms conflict with the BAA for PHI processing, the BAA controls.

Customer Responsibilities

  • Customer warrants that it obtains valid patient consent for SMS before enrollment.
  • Customer is responsible for staff authorization, configuration, and clinical workflows.
  • Real patient data may not be entered into sandbox tenants.

No Medical Or Emergency Use

Vinician is not a medical device, is not clinical decision support, and is not a substitute for professional judgment. Vinician is not for emergencies or crisis response. Patients and staff should call 911 for emergencies and may call or text 988 for mental health crisis support.

SMS Delivery

SMS carrier delivery is not guaranteed. Message delivery may be delayed, blocked, filtered, or unavailable due to carrier, device, network, or third-party conditions.

Acceptable Use

Customers may not misuse the service, interfere with security, reverse engineer the platform, upload unlawful content, or use the service outside applicable healthcare, privacy, SMS, and security requirements.

Data Return And Termination

On termination, data return, retention, and destruction will be handled under the applicable agreement and BAA. Vinician may suspend or terminate access for breach, nonpayment, or legal or security risk.

Indemnification And Liability

Customer will indemnify Vinician for claims arising from customer data, instructions, consents, clinical use, or violation of law. Vinician's liability is limited to the maximum extent permitted by law and excludes indirect, consequential, special, punitive, lost-profit, and service-interruption damages.

Governing Law

These Terms are governed by Delaware law, without regard to conflict-of-law rules.
